Welcome to KlinicUp. These Terms of Service represent the foundation of trust between you and Tublat Ltd. We believe that transparency and mutual respect are essential to a lasting relationship. By using our platform, you're joining a community of healthcare professionals dedicated to excellence. Please read these terms carefully—they protect both you and the patients you serve.

1. Welcome & Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Tublat Ltd, a company registered in England and Wales ("Company", "we", "us", or "our"), governing your access to and use of the KlinicUp platform, including all related websites, applications, and services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Service. We recommend that you save or print a copy of these Terms for your records.

These Terms apply globally and are designed to comply with applicable laws in the United Kingdom, European Union, United States, Canada, Australia, Japan, and other jurisdictions where we operate.

2. Service Description

KlinicUp is a comprehensive cloud-based medical practice management system designed to streamline clinical operations, enhance patient care, and simplify administrative workflows. Our platform is built with passion and precision to serve healthcare professionals worldwide.

The Service includes, but is not limited to:

  • Patient management and electronic health records (EHR)
  • Appointment scheduling and calendar management
  • Billing, invoicing, and payment processing
  • Clinical documentation and digital signatures
  • Analytics, reporting, and business intelligence tools

3. Eligibility & Access

The Service is intended for use by licensed healthcare professionals, their authorized staff, and healthcare organizations. By registering, you represent and warrant that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access or security breach. We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.

4. User Responsibilities

As a healthcare professional, you bear significant responsibility for patient care and data protection. We trust you to use our platform ethically and in accordance with your professional obligations.

4.1 Professional Conduct

You agree to use the Service in compliance with all applicable laws, regulations, and professional codes of conduct. You are solely responsible for ensuring that your use of the Service complies with healthcare regulations in your jurisdiction, including HIPAA (USA), GDPR (EU/UK), PIPEDA (Canada), and equivalent standards.

4.2 Data Accuracy

You are responsible for the accuracy, completeness, and legality of all data you enter into the Service. Patient safety depends on accurate information. We provide tools, but the responsibility for clinical decisions remains with qualified healthcare professionals.

4.3 Security Practices

You agree to implement appropriate security measures, including strong passwords, multi-factor authentication where available, and secure access protocols. Do not share login credentials or access the Service from unsecured networks.

5. Data & Privacy

Your privacy and the privacy of your patients is paramount. We process personal data in accordance with our Privacy Policy, which is incorporated by reference into these Terms. We act as a Data Processor on your behalf for patient data, while you remain the Data Controller.

We implement industry-standard security measures including encryption in transit (TLS 1.3) and at rest (AES-256), regular security audits, and strict access controls. Our infrastructure is designed to meet the requirements of healthcare data protection regulations worldwide.

You retain full ownership of your data. We never sell patient data to third parties. Ever.

6. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other content, is owned by Tublat Ltd and protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription.

You retain ownership of all data you upload to the Service. By uploading content, you grant us a limited license to store, process, and display that content solely for the purpose of providing the Service to you.

7. Payment & Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan. All fees are non-refundable except as required by law or as specified in these Terms. Prices are exclusive of applicable taxes unless otherwise stated.

We reserve the right to modify pricing with 30 days' written notice. Continued use after a price change constitutes acceptance. You are responsible for providing accurate billing information and maintaining a valid payment method.

  • Payments are processed securely through our payment partners
  • Failed payments may result in service suspension after a grace period
  • Enterprise customers may negotiate custom billing terms

8. Service Availability

We strive for 99.9% uptime for all plans. Enterprise customers receive guaranteed SLA terms. However, we may occasionally need to perform maintenance or updates that temporarily affect availability. We will provide reasonable advance notice when possible.

We are not liable for interruptions caused by factors outside our control, including internet outages, natural disasters, cyberattacks, or failures of third-party services. We maintain disaster recovery and business continuity plans to minimize disruption.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Tublat Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the fees you have paid to us in the twelve (12) months preceding the claim. This limitation applies regardless of the legal theory upon which the claim is based.

Nothing in these Terms limits our liability for death, personal injury, fraud, or any other liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tublat Ltd and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.

11. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting support. Upon termination, your right to access the Service will cease immediately.

We will provide you with a reasonable opportunity to export your data before deletion. Data retention periods are governed by our Privacy Policy and applicable legal requirements. Some provisions of these Terms survive termination, including intellectual property, limitation of liability, and indemnification.

12. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. The courts of England and Wales shall have exclusive jurisdiction over any disputes arising from these Terms.

For users in the European Union, nothing in these Terms affects your statutory rights as a consumer. For users in the United States, you agree to resolve disputes through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

13. Changes to Terms

We may update these Terms from time to time to reflect changes in our practices, technology, or legal requirements. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance. If you disagree with any changes, you may terminate your account.
